- Introduction
Contract Between You and Us
By accessing our website, the Teameo platform, or using our services (as described below), you agree to the following Terms of Use, together with our Privacy Policy, which together form a contract between you and us, even if you use our services on behalf of a company or if it is required by your organization. If you do not agree to the terms of this agreement, do not access and use our Services. If you wish to terminate this contract, you may do so at any time by closing your account and no longer using our Services.
This contract applies to the teameo.io website, the Teameo platform, as well as communications, newsletters, and services related to Teameo and described in these Terms of Use. This contract applies to users who have an account on the Teameo platform and to visitors of the website.
Who We Are
The teameo.io website and the Teameo platform are wholly owned by Teameo Innovation Inc. (referred to herein as “we” or “Teameo”), a Canadian company domiciled in Quebec.
Teameo Platform and Services
The Teameo web platform (hereinafter the “Platform”) is accessible via the website or via the mobile application. It mainly aims to optimize and/or automate class management, schedule management, and custom learning paths with LMS integrations, all in compliance with the internal policies of each organization. To do this, the Platform manages certain communications between employees and the organization’s managers. The Platform and the website can also offer various management, authorization, assessment, training, professional training plan, professional training monitoring, and assistance tools to employees and managers of the organizations that use it (all the functionalities of the Platform and the website being hereinafter referred to as the “Services”).
Our mission is to create an integrated learning environment for students and teachers.
- SERVICES
Right to Services
To use the Services, you agree and represent that:
- You are part of a school organization or a client that has paid for the software;
- You have a Teameo account created by your school organization, using your Microsoft 365 account; and
- Teameo has not prohibited you from using its Services.
Creating an account with incorrect information is a violation of our terms and can have serious consequences for an organization or your employer. A false or misleading statement may expose you to reprisals or legal proceedings.
Identifiers
Users are responsible for maintaining the confidentiality and security of their user ID and password (“Credentials”) generated, created, or delivered, as the case may be, in connection with the use of the Platform or Services.
Use of the Services
You can modify or delete your account at any time. We reserve the right to modify, suspend, or terminate access to the Services or the Platform at any time for any reason and without prior notice. We also reserve the right to ask you to change your username and/or password and to remove any programs or data files associated with your account and/or other information you have provided to us.
Use of the Platform
Employees of an organization – You may use the Platform as an employee or manager if your organization has an open account with us, in which case the terms of the contract entered into with your organization are in addition hereto. These accounts, and the associated data, belong to your organization.
By using your account, you agree that we may access, store, archive, process, and use the information and personal data provided by you in accordance with the Privacy Policy.
By using the Platform, the Services, or the website, you agree to:
- Comply with all applicable laws, including without limitation privacy laws and intellectual property rights laws;
- Communicate accurate and truthful information about you, then keep it updated at least once a year;
- Use your full legal name in your profile;
- Respect the commitments made, via the Platform or the Services, to an organization;
- Use the Services in a professional manner.
Prohibited Use
Under no circumstances may you reproduce, publish, distribute, or otherwise reconstitute and communicate, directly or indirectly, any content of the Platform or exploit the content of the Platform, in any way whatsoever, for commercial purposes, unless you have obtained our prior written consent to this effect.
It is prohibited to use the Platform for the purposes of disseminating, publishing, transmitting, or hosting: i) illegal, illicit or harmful content for Teameo or other users ii) documents intended to impersonate a third party without their prior consent, iii) documents infringing the intellectual property rights of Teameo or third parties, iv) documents containing computer viruses, malicious software (malware), spyware (spyware) or any other document likely to negatively affect the operation of the Platform or damage the facilities and systems of Teameo, its users or its service providers.
You agree not to:
- Accept a commitment to an organization that you cannot meet;
- Create a false identity on Teameo, forge your identity, create an account for anyone other than yourself, or use or attempt to use another’s account;
- Declare or indicate, via the Platform or the Services, that you are qualified to hold a position when you are not legally qualified;
- Develop, support or use software, devices, scripts, robots or any other means or processes (including web crawlers, browser plug-ins and add-ons, or any other technology) intended to perform web scraping of the Services or any other similar operation;
- Override any security features or circumvent any access control;
- Copy, use, disclose or distribute any information obtained from the Services, either directly or through third parties (such as search engines), without Teameo’s consent;
- Disclose information that you do not have permission to disclose (such as personal data of other people, including your employer or organization);
- Violate the intellectual property rights of others, including but not limited to copyrights, patents, trademarks, trade secrets or any other proprietary rights;
- Violate Teameo’s intellectual property rights or other rights, including, but not limited to, (i) copying or distributing our videos or training (ii) copying or distributing our technologies (iii) use of the term “Teameo” or our logos in a trade name, email address or URL, except with the prior written consent of Teameo;
- Reverse engineer, decompile, disassemble, decipher or otherwise attempt to obtain the source code of the Services or any related technology;
- Imply or state that you are affiliated with or recommended by Teameo;
- Rent, lend, market, sell/resell or otherwise monetize the Services or associated data or access them without Teameo’s consent;
- Create deep links to our Services, without Teameo’s consent;
- Use computer bots or other automated methods in order to access or use the Services, the Platform or the website;
- Monitor the availability, performance or functionality of the Services for competitive purposes;
- Use the technique of “framing”, “mirroring” or, in general, simulating the appearance or operation of the Services;
- Disrupt the operation of the Services or impose a disproportionate load on them (e.g. spam, denial of service attack, virus, game algorithm); and/or
- Violate these Terms of Use or any additional terms in connection with a specific Service provided.
- Email Notifications and Messages
By the nature of our Services, we need to communicate with you. By using our Services or the Platform, you consent to us communicating with you through app notifications, text messages, emails, or any other form of communication, through the Platform or the contact information you provide to us.
If your contact information is not up to date, important notices may not reach you, and your rights may not be respected by your organization, or your application may be rejected by an organization. It is your responsibility to ensure that they are up-to-date and accurate.
You can change your settings to control and limit the notifications we send to you.
- Intellectual Property
Teameo reserves all of its intellectual property rights related to the Platform, the Services, and the website. Use of the Services does not grant you ownership of our Services or any content or information available through our Services. Unless otherwise indicated on the Platform, and only for content that can be shared by third parties, we are the exclusive owners of all visible and invisible content in connection with the website, the Platform, and the Services, including all texts, source code, trademark, educational content, multimedia elements (such as graphics and photographs), training offered by Teameo, etc.
In the event that certain content shared via the Platform, the Services, or the website has been offered by third parties with the prior agreement of Teameo, particularly educational or training content, the intellectual property rights of these elements belong to their respective owners and these are indicated on the Platform.
Rights Holder
Teameo is and will remain the exclusive holder of all rights, titles, and interests relating to the website, the Platform, and the Services, including in particular all equipment, systems, applications, codes and software used for the website, the Platform, or the service of the Services, as well as with respect to any documentation relating thereto, any format, form, portal or website design, any concept, development plan, process, technique, methodology, know-how, document, information, data, materials, training and training content, educational content and any derivative works or adaptations thereof, made, developed or held as an owner or licensee in connection with the Platform or the performance of the Services, including any improvement, development or update thereof.
